1. Acceptance of Terms
These Terms of Service ("Terms") are an agreement between you and Orchestris Inc. ("Orchestris", "we", "us"). By creating an account or using Orchestris services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the services.
2. Description of Service
Orchestris provides account, billing, license, deployment, and AI access-management services, the Orchestris Chat client apps, and a hosted service for connecting to Orchestris servers. Available features vary by plan, platform, rollout status, and any written agreement. We may add, change, or discontinue features.
3. Eligibility and Age
You must be at least 13 years old to use Orchestris. If you have not reached the age of majority where you live, a parent or legal guardian must consent to these Terms and supervise your use. By using the services, you represent that you meet these requirements and have any authorization needed to act for an organization you represent.
4. Accounts and Security
You are responsible for the accuracy of your account information, for keeping your credentials secure, and for activity under your account. Notify us promptly of any unauthorized use.
5. Acceptable Use
You agree not to:
- • Use the services in violation of applicable laws
- • Violate the terms of use of integrated AI or other providers
- • Generate or distribute illegal or harmful content, including child sexual abuse material, content that facilitates fraud or scams, or non-consensual intimate content
- • Attempt to disrupt, reverse engineer, or gain unauthorized access to the services or other users' data
- • Use the services to build a competing product by scraping or bulk extraction
6. User Content and AI Providers
You retain ownership of the prompts, files, images, attachments, configuration, and other content you submit ("User Content"), and you are responsible for it. When you use hosted, connected-server, or provider-backed features, User Content and related metadata may be transmitted to the Orchestris deployment and the AI providers configured for that workspace, as described in our Privacy Policy. Do not submit regulated, confidential, or sensitive content unless your organization and the applicable provider terms permit it. You grant us a limited license to host, process, and transmit User Content solely to operate and support the services.
7. AI-Generated Content
AI output may be inaccurate, incomplete, or offensive, and is not professional advice. You are responsible for evaluating output before relying on it. The Orchestris Chat app provides a way to report AI responses. Android reports are submitted to Orchestris only when you choose Report and control whether a response excerpt is included; connected-server reports may also be sent to that server's administrator. We may review reports and take action, including restricting content or accounts where we operate the affected service. For a user-controlled provider or private deployment, the provider or deployment operator controls its content and account actions.
8. Clients, Plans, and Billing
The Orchestris Chat clients (mobile, desktop, and hosted web) are free. There are no in-app purchases and no App Store or Google Play billing. A free community server is also available.
Paid subscriptions are sold and managed only on orchestris.com through Stripe. The Personal & Family plan is $5 per user per month and the Business plan is $12 per user per month unless otherwise stated at checkout, billed monthly or annually. Subscriptions renew automatically at the end of each billing period until cancelled; you can cancel at any time from the billing portal, and cancellation takes effect at the end of the current period. Fees are non-refundable except where required by law. You are responsible for applicable taxes and for AI provider API usage and overage charges incurred through configured providers or your own API keys.
Eligible verified users may receive one 14-calendar-day hosted trial in a rolling 24-month period after bot and abuse checks. A Personal trial permits up to eight users and a Business trial up to five users; each permits one hosted deployment and does not require a payment method. We may deny automated trial access for repeated identity, excessive source-IP activity, an invalid email or challenge, or other abuse indicators, and may queue unusually concentrated company-domain activity for operator review. Trial access ends when the trial expires; retention and cleanup are described in our Privacy Policy.
Included proxied-request usage is pooled per subscription billing period. For monthly billing, the allowance is the advertised per-user monthly allowance multiplied by paid seats. For annual billing, it is that amount multiplied by twelve and pooled across the annual Stripe service period; it does not reset monthly. Requests above the pooled allowance are charged in 1,000-request blocks rounded up. Immediate paid-seat increases add allowance only prospectively for the remaining service fraction, while seat decreases, plan changes, and monthly/annual interval changes take effect at a renewal boundary unless Orchestris approves and fully closes a documented exception before changing the billing lines.
Usage is assigned to a service period by its measured time and is normally accepted for 48 hours after that period ends. The closed total is then reconciled before Stripe's 72-hour metered-invoice finalization point. Annual overage meter blocks are held until that closed total is known, preventing a later prospective seat increase from reducing final overage below an amount already submitted. Later or ambiguous telemetry is quarantined for an authorized draft-invoice inclusion, later debit, credit, refund, or waiver record; it is not charged automatically after an invoice is final. On a failed renewal, completed prior-period overage remains subject to collection; renewal base charges and usage during the payment-grace window are proposed for waiver and require the documented review before any invoice adjustment.
9. Self-Hosted and Private Deployments
For deployments you operate, you or your organization are responsible for account management, data retention and deletion, provider configuration, security, and compliance with applicable laws. Orchestris provides the software, tools, and APIs; deployment operators control data handling on their infrastructure.
10. Intellectual Property
Orchestris and its licensors own the services, software, and brand, except for open-source components under their own licenses and your User Content. If you send us feedback, you grant us a license to use it without restriction.
11. Disclaimers
The services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.
12. Limitation of Liability
To the maximum extent permitted by law, Orchestris will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim relating to the services will not exceed the greater of the amount you paid us in the twelve months before the claim or one hundred US dollars.
13. Indemnification
You agree to indemnify and hold Orchestris harmless from claims arising out of your User Content, your use of the services, or your violation of these Terms or applicable law.
14. Termination
You may stop using the services and delete your account at any time. We may suspend or terminate access if you violate these Terms or to protect the services. Upon termination, your right to use the services ceases; sections that by their nature should survive will survive.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-laws rules. You and Orchestris submit to the exclusive jurisdiction of the state and federal courts located in Harris County, Texas, except where applicable law gives you the right to bring proceedings elsewhere.
16. Changes to Terms
We may update these Terms from time to time. For material changes, we will provide notice by email or through the service and require affirmative re-consent before a new purchase or paid seat change. A pending re-consent does not prevent cancellation, account-security actions, or access already owed under an existing subscription. The version displayed above identifies the exact Terms accepted by an account holder.
17. Apple App Store: Additional Terms
If you obtain Orchestris Chat from the Apple App Store, these Terms are between you and Orchestris only, not Apple, and Apple is not responsible for the app or its content. Your license to use the app is limited to use on Apple-branded products you own or control and as permitted by the App Store Terms. Orchestris, not Apple, is solely responsible for the app, its maintenance and support, any product warranties, and addressing any claims relating to the app, including product-liability, legal or regulatory, and intellectual-property claims. You represent that you are not located in a country subject to a US Government embargo and are not on a US Government prohibited-parties list, and you will comply with applicable third-party terms. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
18. Google Play: Additional Terms
If you obtain Orchestris Chat from Google Play, your use is also subject to the Google Play Terms of Service, and Google is not a party to these Terms and is not responsible for the app.
